2003-03-28 Decision on motion for leave to intervene, Arb, National Trust Company (herein after referred to as "National Trust") has applied for leave to intervene in the applications for leave to appeal filed by Monsanto Canada Inc. and The Association of Canadian Pension Management, as well as for additional and alternative relief. This matter which concerns Monsanto Canada Inc.'s pension plan originated before the Financial Services Tribunal. R.M. Smallhorn, D.G. Halsall, and S.J. Galbraith (herein after referred to as "the respondents"), who are named as respondents in the applications for leave to appeal, are former National Trust employees and represent members of National Trust pension plan. Neither National Trust nor the respondents appeared, nor were they named in the style of cause, before the Financial Services Tribunal.
When the decision of the Tribunal was appealed to the Superior Court of Justice (Divisional Court), National Trust and the respondents were granted intervener status. When the matter was appealed further to the Ontario Court of Appeal, that Court named both National Trust and the respondents, appellant and respondents respectively. It is unclear why the change in their status occurred. Moreover, there is disagreement amongst the parties as to what their status should be before this Court.
National Trust is now seeking leave to intervene. The respondents, who were named as respondents in the style of cause, however, take the position that they are party respondents before this Court and have filed a response to the applications for leave to appeal.
First, I wish to point out that leave to intervene at the application for leave to appeal stage is rarely granted (Gamble v. R. (20433) (June 12, 1987), Crown Trust v. Ontario (Attorney General) (17823) (September 15, 1983), and Eastmain Band v. Robinson (23382) (March 12, 1993). Second, before this Court, the status of the respondents should be no different than that of National Trust. As there appears to be some ambiguity as to their proper status before this Court (as parties or as interveners), in my view this is an unusual case in which they should be permitted to intervene in the applications for leave to appeal. The proper status of the respondents in the leave applications is that of an intervener rather than that of a party respondent, and the style of cause should be modified accordingly. The response filed by the respondents can serve as their memorandum of argument as interveners. National Trust is granted leave to intervene in the applications for leave to appeal and may file their memorandum of argument as interveners on the applications for leave within 20 days of the date of this order. It follows that should leave to appeal be granted, both interveners will be required to apply for leave to intervene if they chose to participate in the appeal. I stress that this is an unusual case.

There are two appeals. The Appellants are Monsanto Canada Inc. ("Monsanto"), and The Association of Canadian Pension Management ("Association"). The Respondent in both is the Superintendent of Financial Services. Monsanto maintained three separate pension plans in respect of various operations. These plans were consolidated, with effect from January 1, 1996, to form the Pension Plan for Employees of Monsanto Canada Inc. (the "Plan"). As a result of a reorganization of Monsanto, involving a staff reduction program and a plant closure, 146 active members of the Plan (the "Affected Members") received notice that their employment with Monsanto would terminate between December 31, 1996 and December 31, 1998. At issue is the defined benefit pension plan maintained by Monsanto for its employees. Monsanto submitted a report to the Superintendent of Financial Services (hereinafter Superintendent) on August 11, 1997 seeking approval for the partial wind up of the plans as it related to the Affected Members.

Monsanto's report provided that the partial wind up was to be effective May 31, 1997. As of that date, the information supplied to the regulator by the actuaries for the plan showed that the plan had an actuarial surplus of some $19.1 million representing the amount by which the estimated asset value exceeds the estimated liabilities. The Affected Members' pro rata share of that surplus was some $3.1 million. The report made no provision for the distribution of this sum either to the Affected Members or to Monsanto.
