In May 1992, the Appellant Georges Reid became a 35% shareholder of Services Alimentaires B.S.L. Inc (BSL.), agreed to sit on its Board of Directors and take charge of its books. BSL. is a wholesale food distributor in the Rimouski region.
A contract for the supply of food products was entered into by the Respondent Les Épiciers Unis Métro-Richelieu Inc. and BSL. The Appellant agreed in this contract to stand surety for the obligations of BSL.
In May 1993, the Appellant took a new job in Quebec City and, as a result, resigned from the Board of Directors and disposed of his shares. Sometime after, BSL. got into some financial difficulties. In October 1994, the Respondent contacted the Appellant for the payment of $ 43,414.38. The Appellant refused to pay the claimed amount on the ground that the suretyship had been terminated upon his resignation from BSL.
The Respondent sued the Appellant on the suretyship. The Superior Court dismissed the claim on the basis that the Appellant was not responsible for debts contracted by BSL. after his departure. The Court of Appeal annulled the judgment of the lower court.
